Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Glaas platform, including our website at glaas.co, APIs, dashboard and related services (collectively, the "Platform"), operated by Gromor Finance Private Limited ("Glaas", "we", "us", "our"), a Non-Banking Financial Company registered with the Reserve Bank of India.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Definitions
- "Platform Partner": any digital platform (marketplace, payment gateway, SaaS, supply chain platform) that integrates the Glaas API to offer credit products to its users.
- "Co-Lending Partner": any bank, NBFC or financial institution that co-lends capital through the Glaas platform.
- "Borrower": an MSME that applies for and receives credit through a Platform Partner's embedded credit product powered by Glaas.
- "Services": the embedded credit infrastructure, loan origination, underwriting, disbursement, monitoring, collections and related technology services provided by Glaas.
2. Eligibility and Account Registration
To access the Platform, you must be a legally incorporated entity in India and be duly authorised to enter into binding agreements. By registering, you represent that all information you provide is accurate, current and complete.
You are responsible for maintaining the confidentiality of your API keys, credentials and account access. You must notify us immediately at support@glaas.co of any unauthorised access or breach.
3. Platform Partner Obligations
Platform Partners who integrate Glaas APIs agree to:
- Obtain all necessary consents from their users prior to sharing data with Glaas for underwriting purposes.
- Accurately represent the terms and nature of the credit product to end borrowers.
- Comply with all applicable laws including the IT Act 2000, the Digital Personal Data Protection Act 2023, and RBI guidelines on digital lending.
- Not use the Platform for any unlawful, fraudulent or misleading purpose.
- Maintain adequate technical security measures on their end to protect API credentials and borrower data.
4. Co-Lending Partner Obligations
Co-Lending Partners agree to:
- Execute the required co-lending agreement and provide all documentation required for regulatory compliance.
- Deploy capital only in accordance with agreed co-lending parameters and RBI co-lending model guidelines.
- Maintain records as required by applicable RBI regulations.
5. Acceptable Use
You must not:
- Attempt to gain unauthorised access to any part of the Platform or its systems.
- Reverse engineer, decompile or disassemble any part of the Platform.
- Introduce malware, viruses or other malicious code.
- Use the Platform in any manner that could impair its performance or availability.
- Misrepresent your identity, organisation or authority to use the Platform.
6. Intellectual Property
All intellectual property in the Platform, including software, APIs, algorithms, designs, trademarks and content, belongs to Gromor Finance Private Limited or its licensors. No licence is granted except as expressly stated in these Terms or in a separate written agreement.
7. Data and Privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described therein.
8. Disclaimers
The Platform is provided "as is" and "as available". To the maximum extent permitted by applicable law, Glaas disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free or free from security vulnerabilities.
9. Limitation of Liability
To the fullest extent permitted by law, Glaas's aggregate liability for any claims arising out of or related to these Terms shall not exceed the fees paid by you to Glaas in the three months preceding the claim. In no event shall Glaas be liable for indirect, incidental, special, consequential or punitive damages.
10. Indemnification
You agree to indemnify, defend and hold harmless Glaas, its affiliates, officers, directors, employees and agents from any claims, damages, losses and expenses (including reasonable legal fees) arising out of your use of the Platform, your breach of these Terms, or your violation of any third-party rights or applicable law.
11. Termination
Either party may terminate access to the Platform upon 30 days' written notice. Glaas may terminate or suspend access immediately without notice if you breach these Terms, engage in fraudulent activity, or if required to do so by a regulatory authority. Upon termination, provisions relating to intellectual property, limitation of liability, indemnification and governing law survive.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in Mumbai under the Arbitration and Conciliation Act, 1996, conducted in English before a sole arbitrator. The courts of Mumbai shall have exclusive jurisdiction for any matters not subject to arbitration.
13. Amendments
We may update these Terms at any time by posting the revised version on this page. Material changes will be communicated with at least 14 days' notice via email or a prominent notice on the Platform. Continued use after the effective date constitutes acceptance.
